These Terms of Service ("Terms") govern your access to and use of swiftgloballlc.com and the products, services, and tools (collectively, the "Services") provided by Swift Global LLC ("Swift Global", "we", "us", or "our"). By accessing or using the Services, you agree to be bound by these Terms. 1. WHO WE ARE Swift Global LLC is a global sourcing and procurement company. We help businesses source products from vetted manufacturers and suppliers worldwide and manage the full RFQ-to-delivery lifecycle. 2. ELIGIBILITY You must be at least 18 years old and authorized to enter into binding agreements on behalf of your company to use the Services. 3. ACCOUNTS When you create an account, you agree to: - Provide accurate, current, and complete information - Keep your login credentials confidential - Notify us immediately of any unauthorized access at info@swiftgloballlc.com - Be responsible for all activity that occurs under your account We reserve the right to suspend or terminate accounts that violate these Terms. 4. RFQs, QUOTES, AND ORDERS - Submitting an RFQ is a request for information and does not create a binding contract. - Quotes we provide are valid for the period stated in the quote and are subject to supplier availability, raw material price changes, and exchange rates. - An order is binding only when confirmed in writing by Swift Global and any required deposit is received. - All sales are subject to the specific terms of the order confirmation, which prevail over these Terms in case of conflict. 5. PAYMENT Payment terms (deposit, balance, currency, method) are stated on each order confirmation. Late payments may incur interest at the maximum rate permitted by law. You are responsible for any taxes, duties, customs fees, and bank charges associated with your order. 6. SHIPPING, RISK OF LOSS, AND DELIVERY Unless otherwise agreed in writing, shipments are made on Incoterms specified in the order confirmation. Risk of loss passes to you as defined by the applicable Incoterm. Estimated delivery dates are not guaranteed; we are not liable for delays caused by suppliers, carriers, customs, weather, or other events outside our reasonable control. 7. PRODUCT QUALITY AND INSPECTIONS Where we arrange pre-shipment inspections, the inspection report is the controlling document for quality acceptance. Claims for non-conformity must be raised in writing within 14 days of delivery, with photographic and documentary evidence. 8. INTELLECTUAL PROPERTY All content on swiftgloballlc.com (text, graphics, logos, images, software) is the property of Swift Global LLC or its licensors and is protected by copyright, trademark, and other intellectual property laws. You may not copy, reproduce, or use our content without prior written permission. 9. CONFIDENTIALITY Both parties agree to keep confidential any non-public information received from the other party in connection with the Services. 10. ACCEPTABLE USE You agree not to: - Use the Services for any unlawful purpose - Submit false, misleading, or fraudulent RFQs - Attempt to gain unauthorized access to our systems - Interfere with or disrupt the Services - Reverse engineer, decompile, or scrape any part of the Services 11. DISCLAIMERS The Services are provided "AS IS" and "AS AVAILABLE" without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. 12. LIMITATION OF LIABILITY To the maximum extent permitted by law, Swift Global LLC's total aggregate liability arising out of or related to the Services or any order shall not exceed the amount you paid to Swift Global for the specific order giving rise to the claim. In no event shall Swift Global be liable for indirect, incidental, special, consequential, or punitive damages, including lost profits or business interruption. 13. INDEMNIFICATION You agree to indemnify and hold Swift Global LLC, its officers, directors, employees, and agents harmless from any claim, damage, or expense arising out of your breach of these Terms or your use of the Services. 14. GOVERNING LAW AND DISPUTE RESOLUTION These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict-of-law principles. Any dispute arising under these Terms shall be resolved by binding arbitration in Delaware, except that either party may seek injunctive relief in any court of competent jurisdiction. 15. CHANGES TO THESE TERMS We may update these Terms from time to time. Material changes will be communicated via email or a notice on our website. Continued use of the Services after changes constitutes acceptance. 16. TERMINATION We may suspend or terminate your access to the Services at any time for any reason, including violation of these Terms. Sections that by their nature should survive termination (IP, confidentiality, limitation of liability, indemnification, governing law) shall survive. 17.
